Terms of Sale

1. Scope
These Terms of Sale (the "Terms of Sale") govern the paid supply of the Legal-Index service by [Raison sociale — à compléter], [Forme juridique et capital — à compléter], registered office [Adresse du siège social — à compléter], registration number [N° registre de commerce — à compléter], tax identifier [NIF / TVA — à compléter].
They supplement the Terms of Use. In case of conflict on a commercial point, these Terms of Sale prevail.
2. Plans and billing unit
The Service is offered under several plans: a free tier, monthly subscriptions, one-off top-ups, and enterprise offers (seats, dedicated private cloud, on-premise deployment) subject to a quote.
Consumption is measured in credits. A credit is the platform's unit of work: a task consumes credits according to the effort actually produced by the agents (models called, research, file generation, tool execution). The per-model and per-feature schedule is available in the application, under billing.
Credits included in a subscription are granted each period. Credits purchased individually do not expire and accumulate.
3. Prices
Prices are shown on the pricing page, in the currency displayed for your location. They are exclusive of tax; applicable taxes are added at payment in accordance with the regulations in force.
We may change our prices. No change affects a period already paid for; it applies at the next renewal, after reasonable prior notice.
4. Ordering and payment
An order is confirmed by payment. Payments are processed by approved providers (including Stripe); we store no card details.
Subscriptions renew automatically at term for an identical period, unless cancelled before the end of the current period from your billing settings.
If payment fails, access to paid features may be suspended after an unanswered reminder.
5. Seats and team accounts
Per-seat offers are billed on the number of allocated seats. Adding a seat mid-period is billed pro rata. Reducing seats takes effect at the next renewal, without refund for the current period.
6. Right of withdrawal
Under applicable consumer law, a consumer has fourteen (14) days to withdraw from a distance contract.
However, by requesting immediate access to the Service — which is the case as soon as credits are first used — you expressly request performance before that period expires and acknowledge losing your right of withdrawal for the part already performed. Credits already consumed are non-refundable.
This clause does not apply to business customers, for whom no statutory right of withdrawal exists.
7. Refunds
Amounts corresponding to credits already consumed are not refundable.
A pro-rata refund may be granted in the event of prolonged unavailability attributable to the Service, or a proven billing error. Requests should be sent to billing@legal-index.com, stating the account and period concerned.
8. Enterprise, on-premise and white-label offers
Deployments on the customer's infrastructure (on-premise, dedicated private cloud), white-label licences and bespoke agent development are covered by a separate agreement setting out scope, deliverables, availability commitments, support, update and reversibility arrangements, duration and price.
Unless that agreement states otherwise, these Terms of Sale apply on a supplementary basis.
9. Late payment
Any sum unpaid at term automatically bears late-payment interest at the applicable statutory rate and, for business customers, the fixed recovery indemnity provided for by regulation.
10. Duration and termination
Subscriptions run for the period subscribed and renew in accordance with article 4. You may cancel at any time with effect at the end of the current period; access is maintained until that date.
We may terminate for serious breach, persistent non-payment, or use contrary to the Terms of Use, under the conditions set out therein.
11. Force majeure
Neither party is liable for a failure resulting from an event of force majeure, including major network failures, prolonged unavailability of an artificial-intelligence model provider, or any decision of an authority preventing performance.
12. Governing law and jurisdiction
These Terms of Sale are governed by the law applicable at the publisher's registered office. Failing amicable resolution, jurisdiction is granted to [Tribunaux compétents — à compléter], subject to mandatory consumer-protection rules.
